Terms of Service — VoxConduit

These Terms of Service ("Terms") govern your access to and use of the VoxConduit platform, including our call routing infrastructure, contractor dashboard, billing system, and all related services (collectively, the "Platform"). By registering an account or using the Platform, you agree to be bound by these Terms.

1. Description of Service

VoxConduit provides a software-as-a-service (SaaS) telecommunications infrastructure platform that routes inbound calls from consumers seeking home service professionals to registered contractors. The Platform includes call routing logic ("Buy Box"), whisper prompt technology, answering machine detection (AMD), geographic filtering, usage-based billing, and a contractor analytics dashboard. VoxConduit is a technology intermediary. We do not provide locksmith, plumbing, electrical, HVAC, or any other home services. We do not employ contractors. We are not a party to any service agreement between a contractor and a consumer.

2. Eligibility and Account Registration

To use the Platform, you must be a licensed, insured home service contractor operating in the United States. By creating an account, you represent and warrant that: (a) you are at least 18 years of age and legally able to enter into contracts; (b) you hold any licenses or permits required to operate in your service area; (c) all information provided during registration is accurate and current; (d) you will maintain the security of your account credentials. VoxConduit reserves the right to refuse service, suspend, or terminate any account at its sole discretion.

3. Connection Credits and Billing

The Platform operates on a prepaid connection credit model. Contractors purchase credit packages in advance. A connection credit is deducted from your balance only when a billable connection event occurs. A billable connection event requires all of the following: the contractor pressed "1" to accept the whisper prompt; the Platform did not detect an answering machine (AMD check passed); the call between contractor and consumer lasted more than 60 seconds after connection. If any condition is not met, no credit is deducted. Connection credits do not expire and carry over indefinitely (except Enterprise flat-rate plans which reset monthly). All payments are non-refundable except as described in our Billing & Refund Policy.

4. Enterprise Flat-Rate Plan

Contractors eligible for the Enterprise Flat-Rate Plan ($3,000/month) will be billed monthly. Eligibility requires a sustained response rate above 85% over the preceding 30-day period. Once monthly spend reaches $3,000, additional connections processed through the Platform that month are provided at no additional charge. VoxConduit reserves the right to modify flat-rate eligibility criteria with 30 days' notice.

5. Contractor Obligations

As a contractor using the Platform, you agree to: (a) maintain a reasonable response rate — consecutive missed calls trigger automatic account pausing per our performance policy; (b) not use the Platform for services you are not licensed to provide; (c) treat consumers professionally and in accordance with applicable law; (d) not attempt to circumvent the billing system, including artificially extending or shortening call durations; (e) not share your account credentials with third parties.

6. Call Recording

VoxConduit may record calls processed through the Platform for quality assurance, dispute resolution, fraud prevention, and compliance purposes. By using the Platform, you consent to such recording. It is your responsibility to comply with applicable call recording disclosure laws in your jurisdiction.

7. Platform Availability

VoxConduit targets 99.9% platform uptime but does not guarantee uninterrupted service. Scheduled maintenance, third-party infrastructure failures, or force majeure events may cause temporary interruption. VoxConduit is not liable for lost business opportunities resulting from service unavailability.

8. Prohibited Uses

You may not use the Platform to: engage in fraudulent, deceptive, or illegal activity; conduct outbound telemarketing or unsolicited communications; harass, abuse, or harm any consumer or third party; attempt to reverse-engineer, scrape, or disrupt the Platform; or resell or sublicense Platform access without written consent from VoxConduit.

9. Intellectual Property

All software, algorithms, trademarks, content, and technology comprising the Platform are the exclusive intellectual property of VoxConduit. Your use of the Platform grants no ownership rights. You may not copy, reproduce, or create derivative works from any Platform component.

10. Limitation of Liability

To the maximum extent permitted by applicable law, VoxConduit shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Platform. VoxConduit's total cumulative liability for any claim shall not exceed the total amount you paid to VoxConduit in the 90 days preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless VoxConduit and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Platform, violation of these Terms, or violation of any applicable law.

12. Termination

Either party may terminate the account relationship at any time. Upon termination, your access to the Platform will cease. Unused connection credits may be eligible for a refund at VoxConduit's discretion per our Billing & Refund Policy. VoxConduit may terminate accounts immediately for material violations of these Terms without refund.

13. Modifications

VoxConduit reserves the right to modify these Terms at any time. We will notify registered contractors of material changes via email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any dispute shall be resolved through binding arbitration per the rules of the American Arbitration Association.
